ACQUISITIONS BY PUBLISHERS

"Are the assets all that they appear to be?
An acquiring publisher should investigate the status of the assets being purchased. The primary assets of a publishing business will normally be contracts for books currently in print, the inventory of copies of those books, contracts for books to be published, the trade name or trademarks of the business, and all of the goodwill associated with the business, including relationships with authors..."

"What are the terms of the publishing agreements with the selling publisher’s authors? Do the agreements grant all of the rights that the acquiring publisher expects to receive?"

"Are all of the publishing agreements freely assignable, or will it be necessary to obtain the consent of the authors?"

"Has the selling publisher had disputes with any of its authors? If so, what was the nature of those disputes, and how were they resolved? Are there any disputes that remain unresolved?"

Of course not, WCP is like one big happy family. ;-)

'Consent' of the authors. Man, that's a laugh. Like WCP treats its authors like something you'd scrape off the sole of your shoe.

Oh right, can't you feel the love? Say, I wonder if Start knew just how much badwill there was at WCP? Well if they didn't they sure do now.

My experience with WCP has been totally positive. They assigned me an excellent editor (Margy Brispoe), the cover was marvelous, the royalty payments were great and right on time along with the royalty statements. And any time I emailed the Womacks they got back to me right away and were super helpful. So I just can't understand why there's all this angst about them. I guess some folks are just impossible to please. But the fact remains that WCP is a top notch classy house that sells a ton of books for its authors and treats them right.
